These Terms of Use ("Terms") constitute a legally binding agreement between you and Charlie Labs, Inc. ("Charlie Labs," "we," "us," or "our") governing your access to and use of all products and services operated by Charlie Labs, including the Charlie personal finance application and the Voyage Trips iOS application (collectively, the "Services"). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
Charlie. The Charlie personal finance application is intended for users who are at least 18 years of age. By using Charlie, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not prohibited from using the Services under any applicable law.
Voyage Trips. The Voyage Trips application requires that you be at least 13 years old, or the minimum age of digital consent in your jurisdiction, whichever is greater. Users between the ages of 13 and 17 may only use Voyage with the consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf. By using Voyage, you represent and warrant that you meet the applicable age requirement.
You agree to provide accurate information when creating your account and to keep it current. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity that occurs under your account.
2. Description of Services
Charlie. Charlie is a personal finance application that helps you track spending, manage your budget, and build better financial habits. The Services may include connecting to your financial accounts through third-party data aggregators, providing spending insights and recommendations, and offering tools to help you save money and achieve financial goals.
Not financial advice. The content, features, and information provided through Charlie are for informational and educational purposes only. Nothing in the Services constitutes financial, investment, tax, legal, or other professional advice. You should consult a qualified professional before making any financial decisions. Charlie Labs is not a bank, investment advisor, broker-dealer, or financial institution, and is not registered as such.
Voyage Trips. Voyage is a travel planning application that surfaces curated place recommendations across four categories — Eat, Stay, Sip, and Do — for cities worldwide. You can save places, organize them into trips, and share Voyage with friends. The Service includes both a free tier and a paid Pro subscription with additional features.
3. Connecting Financial Accounts (Charlie)
Charlie allows you to connect your bank accounts and financial institutions through third-party aggregation services, including Plaid. By connecting your accounts, you authorize us and our data aggregation partners to access your financial account information on a read-only basis for the purpose of providing the Services. You represent that you are authorized to connect any accounts you link. You may disconnect your accounts at any time through the app settings. We are not responsible for any errors, delays, or losses arising from actions taken by your financial institution or our aggregation partners.
4. Voyage Pro Subscription
Pricing and billing
Voyage Pro is a $0.99/month auto-renewing subscription, billed through your Apple ID. Pricing may vary by region as set in App Store Connect.
Auto-renewal
Your subscription automatically renews at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your Apple ID will be charged for the renewal within 24 hours prior to the end of the current period.
Managing your subscription
You can manage and cancel your subscription at any time through Settings → Apple ID → Subscriptions on your iOS device. Cancellation takes effect at the end of the current billing period.
Refunds
All purchases are processed by Apple and are subject to Apple's refund policies. We cannot directly issue refunds for App Store purchases. To request a refund, visit reportaproblem.apple.com.
Pro features
Pro features — including Top 10 results, unlimited saved places, unlimited trips, cuisine and dietary filters, personal notes, personal ratings, and offline access — are available only while your Pro subscription is active. Free-tier features remain available regardless of Pro status.
5. Sharing Voyage
Voyage assigns each account a unique sharing code that you may share with friends. The code is used only for attribution — it does not unlock paid features, grant free Pro access, or otherwise modify any account's entitlements. Voyage Pro is available exclusively through an in-app subscription purchased via the App Store. Sharing codes may not be sold, redistributed at scale, or used in any manner that violates these Terms. We reserve the right to modify or discontinue the sharing feature at any time.
6. Place Information (Voyage)
Place recommendations in Voyage are sourced from the Google Places API. Place names, photos, ratings, hours, addresses, and other place metadata are provided by Google and other third parties.
We do not guarantee the accuracy, completeness, or timeliness of place information. Hours change, businesses close, and ratings shift. Always verify critical details — including hours, reservations, and accessibility — directly with the establishment before relying on them.
We do not endorse any place that appears in our recommendations. Inclusion is based on a composite ranking of public ratings, review volume, and price-fit — not on any commercial relationship.
7. User Content
Saved places, trips, personal notes, personal ratings, and other user-generated material you create within the Services ("User Content") belong to you. By using the Services, you grant us a limited, non-exclusive, royalty-free license to store, transmit, and display your User Content solely as necessary to provide the Services to you across your devices.
You agree not to submit User Content that:
- violates any law or regulation
- infringes another party's intellectual property or privacy rights
- contains viruses, malware, or other harmful code
- is used to harass, defame, or harm another person
We reserve the right to remove User Content that we reasonably believe violates these Terms.
8. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services for any fraudulent, deceptive, or illegal purpose
- Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services, except as permitted by applicable law
- Use the Services in a way that interferes with or disrupts our servers or networks
- Attempt to gain unauthorized access to other users' accounts or our systems
- Scrape, mirror, or republish place data or other content from the Services at scale
- Create accounts by automated means or use the Services in any commercial enumeration or aggregation effort
- Transmit any viruses, malware, or other harmful code
- Use the Services to infringe upon the intellectual property or privacy rights of any third party
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
9. Intellectual Property
The Services and all content, features, functionality, software, text, graphics, logos, and other original materials made available through the Services are owned by Charlie Labs, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. The Charlie and Voyage names and logos may not be used without our prior written permission. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only.
Place data, photos, ratings, and related metadata in Voyage are owned by their respective providers, including Google and its underlying contributors.
10. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.
11. Third-Party Services
The Services may contain links to or integrations with third-party websites, services, or applications. These may include:
- Plaid — for financial account aggregation (Charlie)
- Supabase — for backend infrastructure and authentication (Voyage)
- Apple — for authentication (Sign in with Apple), payments (App Store / StoreKit), and platform services
- Google Maps Platform / Google Places API — for place search and mapping data (Voyage)
- Analytics and communications providers — for usage analytics and marketing across both products
We do not control these third-party services and are not responsible for their content, privacy practices, or terms. Your use of third-party services is governed by their respective terms and privacy policies.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHARLIE LABS, INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY FINANCIAL DATA, PLACE INFORMATION, OR OTHER CONTENT PROVIDED THROUGH THE SERVICES.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHARLIE LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR FINANCIAL LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED: (A) FOR CLAIMS ARISING FROM YOUR USE OF CHARLIE, THE GREATER OF THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100); OR (B) FOR CLAIMS ARISING FROM YOUR USE OF VOYAGE, THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR TWENTY DOLLARS ($20).
14. Indemnification
You agree to indemnify, defend, and hold harmless Charlie Labs, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, your violation of any third-party rights, or any financial decisions you make based on information provided through the Services.
15. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Informal resolution. Before filing any formal legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Charlie disputes. If informal resolution fails for disputes arising from your use of Charlie, any claim or controversy shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
Voyage disputes. If informal resolution fails for disputes arising from your use of Voyage, any dispute will be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of those courts.
Class action waiver. FOR CHARLIE DISPUTES SUBJECT TO ARBITRATION: YOU AND CHARLIE LABS EACH AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the entire arbitration section for Charlie disputes shall be null and void.
Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of any dispute.
16. Governing Law
Charlie. Terms governing your use of the Charlie application shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent any Charlie dispute is not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Delaware.
Voyage. Terms governing your use of the Voyage application shall be construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
17. Termination
You may stop using the Services at any time by signing out or deleting your account in Settings. We may suspend or terminate your access to any or all of the Services at any time, with or without notice, for any reason, including if we reasonably believe you have materially violated these Terms, or if required by law.
Upon termination, all licenses granted to you will immediately cease. Any active Voyage Pro subscriptions must be canceled separately through your Apple ID account settings; we do not issue refunds upon termination. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
18. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you via email or a prominent notice within the Services. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
19. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Charlie Labs, Inc. regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. These Terms are personal to you and may not be assigned without our prior written consent. We may assign our rights under these Terms without restriction.
